Terms and Conditions

  1. Intellectual Property Rights
    1. You retain ownership of all your intellectual property rights in your Template. Kajabi does not claim ownership over any of your Templates. You are responsible for your Templates and the consequences of posting and licensing it in the Template Store. This Agreement does not grant us any licenses or rights to your Templates except for the limited rights needed for us to provide the Platform to you, and as otherwise described in these Terms. Should any of your Templates involve third-party content, you agree that Kajabi is not responsible in any way for such content and makes no representations or warranties as to such third-party content.
    2. Template Developer grants to Kajabi a worldwide, non-exclusive, royalty-free, transferable and sub-licensable right and license to use and display in any manner your trademarks, service marks, logos, trade names, copyrighted content, graphic files, images and other intellectual property, in connection with and for the purpose of performing its obligations and exercising its rights under this Agreement. In addition, at Kajabi’s discretion, Kajabi may use any such intellectual property for the purposes of promoting or marketing Template Developer, your Templates, or as otherwise agreed to with Template Developer.
    3. Template Developer understands and agrees that by providing Kajabi with your Templates to be included in the Template Store, Template Developer is making these items available to Heroes to purchase an ongoing, non-exclusive, worldwide license to use the Template by the Hero for a single Site. 
    4. Template Developer may use the Kajabi trademarks and may refer to Kajabi in the promotion of their Templates for the sole purpose of notifying Heroes that the Templates are compatible with the Platform.
  2. Support
    1. As a Template Developer, you're responsible for supporting Heroes who use your Template. Being customer-focused, providing quality support, and having a collaborative attitude with Kajabi is essential for the success of your Template.
    2. Support requirements:
      1. You must assist Heroes with their template-related questions.
      2. You must reply to support requests from Heroes within two business days.
      3. If there is a technical issue with your Template, such as a broken layout, a dead link, or a logical error, then you’re responsible for fixing the issue in a timely manner.
      4. You must fix critical bugs immediately or your Template may be temporarily removed from the Template Store. 
  3. Price and Earnings.
    1. As a Template Developer, you select the purchase price for the Templates. 
    2. When your Template is sold in the Template Store, you will earn the stated list price less the Developer Fee and less payment processing fees (your “Earnings”). The “Developer Fee” is what you are charged by Kajabi for use of, and access to, the Template Store as a Template Developer, which currently is 10% of your Earnings. In order to pay your Earnings, you authorize us to collect payments, you must have an active PayPal account in which to receive payment of your Earnings.  This is the only method in which Kajabi will pay you the Earnings.  If you do not currently have a PayPal account, you can sign up here https://www.paypal.com/us/home. 
    3. To avoid confusion, only your Earnings from the sale of your Templates will be payable to you.
    4. If we decide that any Template of yours or your account activity does not comply with any applicable law or any of our terms, policies, or guidelines, including the Platform TOS, our Acceptable Use Policy, and these Terms, we can at our discretion disable the Template or your participation in the Beta Test Service. We may also hold any Earnings on that Template, and may release those held Earnings if we are satisfied that any dispute or issue about your Template or account has been resolved.
  4. Template and Participation Requirements
    1. Template Developers are permitted to develop Templates for Heroes to be distributed in the Kajabi Template Store. Templates that Kajabi chooses to include in the Template Store may be made accessible to Heroes only through the Template Store. All Templates are subject to approval and acceptance by Kajabi and Kajabi retains the right to remove a Template from the Template Store at any time and for any reason. We aim to give you notice before an item is removed, but this is not always feasible or possible, so we can’t guarantee this. We will not be responsible for any loss that you may suffer as a result of your item being removed.
    2. We have rules about what we accept and don’t accept, including those included in our Acceptable Use Policy and in the Template Store’s Help Center article. Although we always like to provide constructive feedback, we’re not obligated to give you any reasons for rejecting your Template. We have the final say on what items are accepted in the Template Store.
    3. You agree to not buy your own Templates.
    4. You agree to follow any Template Developer guidelines provided by us, act in good faith, and provide assistance and cooperation as we reasonably request
    5. All information and documentation you give to Kajabi (like your name and address) is accurate.
    6. You agree not to develop or distribute any Template in any way in furtherance of a criminal, fraudulent, or other unlawful activity, or otherwise violates the Kajabi Acceptable Use Policy.

  1. Templates Developer’s Representations and Warranties.  You represent and warrant to Kajabi and any Hero that purchases a license to use your Templates:
    1. that you have obtained all necessary right, title, and interest in and to the images, fonts, designs, plugins, templates, software or other assets that are distributed with a Template in the Template Store;
    2. that no part of the Template will, nor will a Hero’s use of such Template, violate or infringe upon any copyright or any other rights whatsoever of any third party;
    3. the Template and its description do not violate any applicable law or regulation;
    4. the Template does not contain viruses or other computer codes, files, or programs that are designed to limit or destroy the functionality of other computer software or hardware; and
    5. where relevant, you have the appropriate model or property release for your Template and you can produce a copy of that model or property release when requested by us or a buyer of your item.
  2. Indemnity
    1. You agree to indemnify any Hero for any third party claim against such Hero that its use of your Template in accordance with the terms of the applicable license infringes the intellectual property or other rights of that third party.
    2. You also indemnify us against all losses, costs (including legal costs), expenses, demands, settlement damages, or liability that we incur arising out of, or in connection with, a third party claim against us relating to any breach by you of the warranties you made in this Agreement.
  3. Kajabi’s Use of Your Templates.  You grant to Kajabi the right to use your Templates, in whole or in part, to promote Kajabi and the Template Store, including use in public relations, emails, on a features page, or on its social media sites.
  4. Personal Information.  In order to facilitate a transaction on the Template Store, we may provide you with relevant buyer information and also may provide buyers with your relevant information (for example for invoicing or item support services). You agree that you will keep buyer information confidential and only use this information for that Template Store transaction in compliance with applicable privacy and data protection laws.
